Icahn signs confidentiality agreement with Dell

Billionaire investor Carl Icahn, who is fighting Dell Inc. founder Michael Dell's plan to take the struggling company private, has entered a confidentiality agreement that would give him access to the computer maker's financial records.

Michael Dell, who is also Dell's CEO, is planning a $24.4 billion buyout that would make the Round Rock, Texas, company a privately-owned business. But Icahn and other investors say the price of $13.65 per share is too low.

Icahn's company, Icahn Enterprises, has said it holds a substantial stake in the company.

Icahn wants the company to pay a special dividend of $9 per share, financed with existing cash and new debt, if shareholders reject the buyout offer.

The investor told Dell executives in a recent letter that if they decline to promise this one-time payout, then he wants the company to combine a shareholder vote on the buyout with its annual election of directors,

In that case, Icahn would nominate candidates who would implement the special dividend if they are elected, and Icahn and his company could provide more than $5 billion in loans to ensure prompt payment of the dividend.

Icahn wrote in his letter to Dell last week that the PC maker's future is bright, and all shareholders should benefit from that, not just Michael Dell. Icahn is known for buying out-of-favor stocks and boosting them by pressuring or replacing boards of directors, installing new management and other hard-knuckle tactics.

Analysts say Icahn's entry into the debate over the deal makes it less likely that shareholders will accept Dell's current buyout offer.

Dell appointed a special committee of directors last August after Michael Dell notified the company that he was exploring a buyout bid in partnership with other investors. Michael Dell has agreed to contribute 273 million of the company stock that he controls and $750 million in cash to help finance the buyout, which relies primarily on loans from PC software maker Microsoft Corp. and an assortment of banks.

Dell's special committee has said it already considered a special dividend during a "rigorous" five-month review that culminated with the buyout plan. It said last week that it is conducting a search for better alternatives to the proposed buyout, and Icahn and others are welcome to participate.

Dell shares climbed 15 cents to $14.31 in morning trading Monday, while broader trading indexes fell slightly. Shares of Icahn Enterprises rose 43 cents to $61.23.

Ohio town mourns 6 teens killed in mysterious car crash

An Ohio town was in mourning on Sunday after a single-car crash took the lives of six teenagers, the deadliest car accident the Buckeye State has seen in three years.

Around 7 a.m. local time, a sport utility vehicle carrying eight people in Warren, Ohio veered to the left, hit a guardrail and flew out of control, according to Ohio State Highway Patrol.? The car came to rest in a pond, and only two of the teens were able to escape and find help.

A joyride in northeast Ohio ended tragically after an SUV slammed into a guard rail and flipped into a swamp, killing six teens inside. Two others were injured in the crash early Sunday morning.

Killed in the crash were 19-year-old Alexis Cayson, 14-year-old Andrique Bennett, 17-year-old Brandon Murray, and 15-year-olds Kirklan Behner, Daylan Ray, and Ramone White.

All the victims were from Warren, Ohio, about 60 miles east of Cleveland.

Brian Henry, 18, and Asher Lewis, 15, survived and were taken to a local hospital and later released.

Authorities say the Honda Passport was traveling at "highway speeds" when the driver hit the guard rail on?a street where the speed limit is 35 mph. Some of the occupants were wearing seat belts, though it is unclear how many. The SUV only has five seats.

A Honda Passport that crashed into a guardrail and flipped over into a swampy pond Sunday morning in Warren, Ohio, killing six teenagers.

The teens were all friends, but investigators say it is still unclear where they were coming from or going to. At a press conference Sunday night, State Highway Patrol Lt. Brian Holt said, ?none of the occupants of the vehicle had expressed permission to be in possession of the vehicle.? The?car's owner?lives in nearby Youngstown, Ohio, though the automobile had not been reported stolen. Police said it is unclear at this time what the connection is between the vehicle owner and the teens.

Police also declined to speculate on drug use or alcohol pending the results of a toxicology report.

As news spread of crash, mourners throughout the community visited the scene of the accident to grieve. Along with the grief came questions of how it happened and why the victims were out at the early hour.

A local school where several of the teens attended was opened to the community to come for counseling. Counselors will be on hand Monday as well as students return from the weekend.

?It?s going to be a rough week, a rough rest of the school year,? said Michael Notar, Warren school superintendent.?

Oklahoma State guard AP's top player, freshman

Oklahoma State guard Marcus Smart is The Associated Press Big 12 men's basketball Player of the Year.

And he's also the league's top freshman. He's only the third player to hold both awards at the same time.

In voting by a panel of AP members released Monday, Smart got 10 of 17 votes as player of the year. He got 14 points for top freshman.

Smart and a pair of Kansas teammates ? freshman Ben McLemore and senior Jeff Withey ? are unanimous All-Big 12 picks. They're joined on the first team by Baylor's Pierre Jackson and Kansas State's Rodney McGruder.

Kansas State's Bruce Weber is the league's Coach of the Year. Iowa State senior guard Will Clyburn, a transfer from Utah, is Newcomer of the Year.

Niacin therapy shows no benefits, has some harmful effects

Mar. 9, 2013 ? A highly anticipated study evaluating a combination of the vitamin niacin with the anti-flushing agent laropiprant finds the therapy provides no benefit to and may even be harmful for patients with vascular disease, according to research presented today at the American College of Cardiology's 62nd Annual Scientific Session. Detailed trial data is presented here for the first time.

Heart Protection Study 2-Treatment of HDL to Reduce the Incidence of Vascular Events (HPS2-THRIVE) is the largest-ever study of niacin, commonly used to raise high-density lipoprotein (HDL) or "good" cholesterol and lower low-density lipoprotein (LDL) or "bad" cholesterol. The four-year study tested a combination of extended-release (ER) niacin with laropiprant in patients at risk for cardiovascular problems such as heart disease and stroke. The 25,673 patients in the study were randomized to receive ER niacin/laropiprant 2g/40mg or a placebo, and all received commonly prescribed LDL cholesterol-lowering medication simvastatin (with or without ezetimibe). The study did not meet the primary endpoint of reducing the chances of a major vascular event, defined as the composite of non-fatal heart attack or heart-related death, stroke, or need for angioplasty or bypass surgery. Patients receiving ER niacin/laropiprant had a similar number of major vascular events as patients receiving placebo (13.2 vs. 13.7 percent, p=0.29).

The study also found unexpected and significant excesses of bleeding (2.5 vs. 1.9 percent) and infections (8.0 vs. 6.6 percent) among the ER niacin/laropiprant patients. In addition, significantly higher numbers of patients receiving the study drug suffered serious known side effects including new onset diabetes (9.1 vs. 7.3 percent), diabetic complications (11.1 vs. 7.5 percent), gastrointestinal problems such as indigestion and diarrhea (4.8 vs. 3.8 percent), and skin issues including itching and rashes (0.7 vs. 0.4 percent).

"We are disappointed that these results did not show benefits for our patients," said Jane Armitage, FFPH, FRCP, professor at the University of Oxford and the lead author of the HPS2-THRIVE study. "Still, finding out a drug is not helping people is just as important as finding that it has benefits -- the net result is that people are healthier. Niacin has been used for many years in the belief that it would help patients and prevent heart attacks and stroke, but we now know that its adverse side effects outweigh the benefits when used with current treatments."

A high level of LDL cholesterol is a known risk factor for heart disease and stroke. Standard treatment for at-risk patients includes dietary and lifestyle changes, as well as commonly prescribed medications such as statins, cholesterol absorption inhibitors and resins. Still, heart disease and stroke continue to cause death and disability even in patients receiving these medications, notes Dr. Armitage, and there was hope that the addition of niacin to standard therapy would improve patient outcomes.

Niacin is a type of B-vitamin, but the therapeutic doses used to control cholesterol are about 100 times higher than the amount recommended as part of daily intake. Laropiprant was added to reduce the facial flushing caused by niacin. While there was some speculation that the trial's results may have been due to unexpected side effects of laropiprant, Dr. Armitage believes this is unlikely, as the lack of benefit on heart attacks and strokes is consistent with the recent AIM-HIGH study, which did not use laropiprant, and many of the side effects are known to be due to niacin.

In 2011, AIM-HIGH was halted early when researchers determined a lack of effect for niacin in reducing cardiovascular events. Some experts in the field dismissed AIM-HIGH's findings because of its smaller size and perceived lack of ability to demonstrate definitive outcomes. Dr. Armitage notes that the size and scope of HPS2-THRIVE make its findings about niacin's outcomes and side effects reliable.

Patients taking niacin preparations to prevent heart disease should consider talking with their health care providers to determine whether the therapy is appropriate to continue.

ER niacin/laropiprant has been approved in 70 countries and was being sold in 40. The Food and Drug Administration was awaiting results from HPS2-THRIVE to license the drug in the U.S. In response to preliminary findings, the drug manufacturer Merck announced in December 2012 that it no longer planned to take the drug before the FDA for approval and in January suspended ER niacin/laropiprant from markets worldwide.

I build pc's and even I enjoy this activity! Smile

Funny though, the whole idea is to squish all your files as close together as you can so the head has less distance to travel.. in doing so you will read/write more to certain parts of the hard disk causing wear.

But in reality the moving parts will fail way before the disk reaches its read/write limits..

Of course you never want to defrag a solid state drive.. Waste of time and life capacity for it.

Nup. No need to. I don't run Windows.

Unix has been storing files without significant fragmentation for decades.

Defragmentation is a Windows problem: http://en.wikipedia.org/wiki/Defragmentation#Approach_and_defragmenters_by_file-system_type

Compare "NTFS" (Windows) and "Linux ext2, ext3, and ext4" (the most common Linux file systems).

Linux avoids fragmenting files, and rarely needs disk defragmentation - I have never bothered. Windows needs regular defragmentation.

I remember I used to do that with the old win 98 defragger Laughing. It actually showed every single cluster, so it was a really long list.
Then the new ones in XP and Vista were just a colored strip.
Then I found defraggler.

I don't defrag very often, really, the computer apparently does it automatically already. Last time I had to defrag it was to shrink a partition to make a new one and put linux on it, there was some mft stuff in the way and it was hell to find the proper tools.

Got to admire Fnord's discipline, I only run CCleaner monthly, Spybot like every half a year, and Avast only when I suspect I've catched something.

As far as I know, it's the action of the electrons pooling in the substrate in their cells... and they wear down the insulator between pockets eventually. Probably friction.. just very tiny.

Same thing can happen to flash drives..

Although it's proper coding now to make sure the software "Write levels" or moves around.. not staying in the same code block for long. That's even important on arduino stuff if you use the built in flash memory.

What do I know. It's all amazing is what I gather! Very Happy
